1. IntroductionThese Terms of Service (“these Terms”) govern the legal services provided to you by Murray Buchanan Limited, a company registered in Scotland (company number SC710378) with its registered office at 272 Bath Street, Glasgow, G2 4JR (“we”, “us”, or “our”). By engaging our services, you agree to these Terms.2. Regulatory StatusMurray Buchanan is a solicitor registered with both the Law Society of Scotland and the Solicitors Regulation Authority (SRA) in England and Wales.Murray Buchanan Limited operates an unregulated legal services provider to allow greater flexibility outside formal regulation, while maintaining solicitor-level standards of professionalism, including:• Acting with integrity and in your best interests;
• Maintaining confidentiality;
• Providing competent, independent, and honest advice;
• Managing conflicts of interest;
• Communicating clearly and fairly.We follow the professional codes and guidance of the Law Society of Scotland and the SRA, where relevant. We do not provide reserved legal activities as defined in the Legal Services Act 2007 (England & Wales) or the Solicitors (Scotland) Act 1980. If you require a service that we are unable to provide, we will notify you in writing and, where possible, recommend a suitable provider. If you have questions about this, please speak to Murray Buchanan.3. Client Identity and Conflict ChecksWe may request from you information or documentation for identification or verification purposes before or during our engagement. Any information collected for these checks is handled in accordance with our Privacy Policy and applicable data protection laws. If you do not provide information and/or documentation that we request or if these raise concerns, we may decline or cease to act.Before accepting instructions, we conduct proportionate checks to identify conflicts of interest. If a conflict arises or becomes apparent during our engagement, we will notify you and take appropriate steps. We may decline or cease to act.4. ServicesWe provide services in several formats, including retainers, one-off consultations, fixed-scope packages, and customised projects. The format and scope will be agreed in writing before any work commences.In all cases:• The scope and fee are confirmed in advance;
• We do not carry out work until payment is received in full;
• If your needs change significantly during the engagement, we may pause and review fees or scope;
• We do not undertake additional work without your written approval.5. Fees and Payment• All fees are agreed in advance and payable in full before work begins.
• Payments are made through Stripe unless we agree otherwise in writing.
• We do not offer credit.
• We do not offer hourly billing.
• Unless otherwise stated, all fees are exclusive of VAT, which will be applied based on your billing address in accordance with applicable tax laws.
• Once payment is made and work has started, fees are non-refundable except as outlined below.
• We do not hold client money. Funds become our property upon receipt as payment for agreed services.
• If payment is not made, we may pause or cancel our services.6. Cancellations and RefundsRetainers• Retainer fees are non-refundable.
• You may cancel by giving written notice at least one full calendar month prior to your next renewal. For example, to cancel before renewal on 1 August, notice must be given by 30 June.
• We will continue to provide support until the end of your paid period.Consultations• Consultation fees are non-refundable.
• You may reschedule once with at least 24 hours’ notice.
• Fees for missed or late-cancelled sessions (less than 24 hours) are forfeited.Packages and Projects• Fees for Packages and Projects are non-refundable once work has started.
• You may cancel before work begins for a full refund.
• If you cancel after work has started, any refund is discretionary and will reflect the time and resources already committed and the value already delivered.We reserve the right to pause or cancel services with written notice if payment is not received or if, in our professional judgement, working conditions are unreasonable or unworkable.7. Your ResponsibilitiesYou agree to:• Provide clear instructions and timely responses
• Communicate using agreed channels
• Review and approve work as needed
• Remain within the agreed scope of serviceWe rely on the information you provide. We are not responsible for delays or outcomes caused by inaccurate or incomplete information or instructions.8. CommunicationWe aim to acknowledge messages within one business day and provide a substantive response within three business days, unless your service agreement states otherwise. If urgent communication is required, please flag this clearly in your message and we will do our best to prioritise.9. ComplaintsRaising a ConcernIf you have any concerns about our service, please let us know in writing by emailing Murray Buchanan within 30 days. As an unregulated legal services provider, we are not subject to the Legal Ombudsman scheme. However, we are committed to resolving concerns promptly, fairly, and transparently. We welcome your feedback.Our Response• We will acknowledge your concern within 5 working days.
• We aim to respond substantively within 20 working days.
• If the issue is complex or requires further investigation, we will notify you in writing and aim to resolve it within 30 working days.EscalationIf we cannot resolve the issue informally, we are open to mediation through an independent body such as CEDR or Scottish Mediation. If the matter still cannot be resolved, either party may refer it to the courts of your jurisdiction.GoodwillIn some situations—such as delays or unexpected outcomes—we may offer a goodwill gesture such as a partial refund or a service extension. This is offered at our discretion and without admission of fault.10. Claims and LiabilityWe are not a regulated legal services provider. Our services are not covered by the SRA Compensation Fund, the Scottish Solicitors’ Guarantee Fund, or compulsory insurance schemes required of regulated solicitors.However, we maintain professional indemnity insurance with a cover limit of £2 million per claim or related series of claims.Our total liability is limited to the amount recoverable under that policy.We do not accept liability for:• Indirect, incidental, or consequential losses;
• Loss of profits, revenue, opportunity, goodwill, or savings;
• Business interruption or loss of data;
• Losses arising from your failure to provide accurate or complete information;
• Losses arising from decisions that you make based on our advice.Nothing in these Terms excludes liability when the law prohibits such exclusion.You must notify us in writing of any claim or potential claim arising from or in connection with our services within 12 months of the date you became aware, or ought reasonably to have become aware, of the relevant circumstances giving rise to the claim. Claims notified outside this period will be time-barred.11. Confidentiality, Privacy, and Data RetentionConfidentialityWe will keep all information you provide confidential and will not share it with third parties except as required by law or with your explicit consent.PrivacyWe comply with UK GDPR and the Data Protection Act 2018. We are registered with the Information Commissioner’s Office. For more information, please see our Privacy Policy.Data RetentionWe retain client data securely for at least six years from the end of our engagement. You may request a copy of any personal data we hold about you during this period. After the retention period, data is securely deleted unless a legal or professional obligation requires us to retain it for longer.12. Intellectual PropertyUnless agreed otherwise in writing, all intellectual property rights in any materials, templates, documents, or tools we create remain ours.We grant you a non-exclusive, non-transferable licence to use our materials solely for your internal business purposes. You may share them in confidence with your professional advisers when necessary for those purposes, provided they are bound by equivalent confidentiality obligations.You must not otherwise copy, adapt, share, or distribute our materials without our prior written consent.13. Force MajeureWe are not liable for any delay or failure to perform our obligations due to events beyond our reasonable control. This includes (but is not limited to) natural disasters, cyber attacks, internet or utility outages, industrial action, illness, pandemics, or government restrictions.If such an event occurs, we will notify you in writing as soon as reasonably practicable and take steps to resume service.14. Governing Law and JurisdictionThese Terms are governed by:• The laws of Scotland, if you are based in Scotland;
• The laws of England and Wales, in all other cases.Any disputes will be subject to the exclusive jurisdiction of the courts in the jurisdiction where you are domiciled.15. Changes to These TermsWe may update these Terms from time to time. The current version is always available on our website and linked to our payment and booking platforms.If you are a current client and a change materially affects your rights or obligations, we will give you at least 30 days’ notice.Your continued use of our services after the notice period will be deemed acceptance of our updated Terms.If you do not accept our updated Terms, you may cancel in accordance with section 6.16.
